Terms of Service
Last updated October 7, 2026
These Terms of Service (the “Terms”) govern your use of OpenPrefs, including the website at openprefs.ai, the web app, the OpenPrefs API and MCP endpoints, and any related services (together, the “Service”). The Service is provided by Rogue Predictions LLC (the “Company,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. By using it, you represent that you meet these requirements. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for it.
2. What OpenPrefs does
OpenPrefs stores preferences and lists you choose to save, and lets AI agents and assistants you connect read or change them, within the access levels you set for each one. You decide which agents to connect and what each may see or change, and you can change or revoke that access at any time from the Agents page.
3. Your account
- You must give a valid email address you control, and keep your password and any API tokens confidential.
- You are responsible for activity under your account, including actions taken by agents you connect or tokens you create.
- An account is for one person. Do not share your sign-in credentials with anyone else.
- Tell us promptly at security@openprefs.ai if you believe your account, a token, or a connected agent has been compromised.
4. Connected agents and third-party services
When you connect an agent, such as an AI assistant offered by another company, it can read or change your data as far as the access levels you grant allow, and that company handles what it receives under its own terms and privacy policy. We do not control third-party agents or services and are not responsible for what they do with data you allow them to access. Grant each agent only the access you are comfortable with.
5. Your content
You keep ownership of the preferences, lists, and other content you or your agents store in OpenPrefs (“Your Content”). You give us a limited, non-exclusive, worldwide license to host, store, process, and transmit Your Content only as needed to operate, secure, and provide the Service to you, including sending it to the agents you authorize. This license ends when Your Content is deleted from the Service, except as described in our Privacy Policy for backups and records we must keep.
You are responsible for Your Content and confirm you have the right to store it. Do not use OpenPrefs to store information you are not permitted to share with the agents you connect.
6. Acceptable use
You agree not to:
- use the Service in violation of any law or regulation, or to store or share unlawful content;
- access, or try to access, another person’s account or data, or bypass any access control, authentication, or security measure;
- probe, scan, or test the Service’s vulnerabilities except as our security policy allows;
- interfere with or disrupt the Service, including by sending excessive or automated traffic beyond normal use of the API and MCP endpoints, or by introducing malware;
- register OAuth clients or agents that impersonate another product, company, or person;
- copy, resell, or create a competing service from the Service or its software;
- reverse engineer the Service, except where the law expressly permits it despite this restriction.
7. Our intellectual property
The Service, including its software, design, and branding, is owned by the Company and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own purposes. All rights not expressly granted are reserved.
8. Early access and changes to the Service
The Service may be offered by invitation or with features that are experimental. We may change, add, or remove features, or suspend or end the Service, at any time. We will try to give reasonable notice of changes that materially affect you.
9. Fees
The Service is currently provided free of charge. If we introduce paid plans, we will tell you the price and terms before you are charged, and you will not be charged without agreeing to them.
10. Termination
You may stop using the Service and delete your account at any time from the Account page, which permanently deletes Your Content as described in our Privacy Policy. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service, its users, or others. Sections that by their nature should survive termination will survive, including sections 7 and 11 through 17.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AGENT WILL USE YOUR PREFERENCES CORRECTLY OR AT ALL. KEEP YOUR OWN COPY OF ANYTHING YOU CANNOT AFFORD TO LOSE.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, INCLUDING ACTIONS TAKEN BY AGENTS YOU CONNECT. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AND ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify and hold harmless the Company and its officers, members, and employees from any claims, damages, liabilities, and expenses, including reasonable attorneys’ fees, arising from your breach of these Terms, Your Content, or your misuse of the Service, including through agents or tokens under your control.
14. Dispute resolution and arbitration
Please contact us first at contact@openprefs.ai so we can try to resolve any dispute informally. If we cannot resolve it within 60 days, any dispute arising from or relating to these Terms or the Service will be resolved by binding arbitration before a single arbitrator, seated in California, except that either party may bring an individual claim in small claims court or seek injunctive relief for misuse of intellectual property or the Service. Claims must be brought individually, not as a plaintiff or class member in any class or representative proceeding.
15. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Where a dispute is not subject to arbitration, it will be resolved in the state or federal courts located in California, and you and the Company consent to their jurisdiction.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms here with a new “last updated” date, and for material changes we will give reasonable notice, such as by email or in the Service. Continuing to use the Service after changes take effect means you accept them.
17. General
These Terms, with our Privacy Policy, are the entire agreement between you and the Company about the Service. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
